Pre-registration activities

Once you have decided to move your operations to Georgia, you have to decide whether you want to incorporate a subsidiary or establish a branch. For this, you may want to have a tax consultation with one of our specialists who can advise on the most optimal business structure. We may also be able to provide valuable information on your planned investment.

Once you have decided on which route you want to take, our legal team will assist you by:

  • Providing the list of required documents.
  • Letting you know what information and statements should be included in these documents.
  • Reviewing the documents you’ve gathered.
  • Drafting the documents that you do not need to procure yourself.

Please note that all foreign documents need to be apostilled.

Next, you will need to send the original documents to us. Once received, we will coordinate the translation and notarization. Alternatively, we can do the legal translation of your documents ourselves, making the translation 100% accurate.

Once we are ready for registration, we will submit the application in the Public Service Hall. If you or one of your representatives is in Georgia, we will accompany you to overcome the language barrier and deal with possible complications. Or we entrust us with a Power of Attorney and we will do it without your involvement.

The registration is likely to be finalized within a couple of days.

What are the requirements for incorporating a subsidiary?

The documents required to incorporate a subsidiary:

  • The decision of the parent company on establishing the subsidiary (i.e., Minutes of the General Meeting/Resolution of the Board). The decision shall be made in accordance with its charter and it shall not contradict the Law of Georgia.
  • The Charter and Articles of Association of the parent company.
  • Incorporation document/extract from the registry.
  • Power of Attorney that authorizes us (or a third person) to submit the registration documents in Georgia on behalf of the parent company.
  • Certificate of incumbency.
  • Articles of Association and Charter of the subsidiary.
  • Director’s consent on the appointment.
  • Business address – consent from the owner of property located in Georgia.

What are the requirements for establishing a branch?

The documents required to establish a branch:

Post-registration activities

After the registration is complete, there are a few important steps that may be relevant to you depending on your plans.

Office for your Business

Once the registration has been completed, you may wish to find a physical workplace for your business – to rent or buy. You can either trust our real estate department to handle the process on your behalf, or do this yourself.

In any case, once you find the property, you will need to conclude a lease or purchase agreement and register it in the Public Service Hall. This is a critical step, so it’s best to have our qualified legal specialists assist you with it. We will help you draft and review the documents and accompany you to the Public Service Hall.

Employment Agreements

Georgian law provides for the provisions that need to be included in employment agreements, including the minimum standards of protection of employees. We can prepare bilingual employment agreements for your team that take the legal requirements into consideration and are compliant with the law.

Residency

Your team may also want to get residence permits. This will safeguard their stay in Georgia and prevent possible disruption in the operation of your business.

There can be multiple grounds for a residence permit, but typically a work residence permit is the most suitable option in these cases.

Our immigration specialist can inform your team about the applicable requirements, assist them with preparing the documents and accompany them to the Public Service Hall to submit the applications.
